一、核心必備材料（Core Required Documents）
1、公司登記（備案）申請(qǐng)書(shū)：原件1份，按要求填寫(xiě)簽字蓋章

2、公司章程：全體股東簽署，明確經(jīng)營(yíng)范圍、注冊(cè)資本、出資期限等核心條款
Company Articles of Association: Signed by all shareholders, specifying core clauses such as business scope, registered capital and capital contribution period
3、投資者主體資格文件：外國(guó)企業(yè)提供注冊(cè)證書(shū)等，外國(guó)自然人提供護(hù)照；所在國(guó)公證+中國(guó)使領(lǐng)館認(rèn)證（公約締約國(guó)按附加證明書(shū)辦理）

二、資金與資信證明(Capital and Credit Certification)
1、銀行資信證明：境外銀行出具，證明投資者資金實(shí)力，近3個(gè)月內(nèi)有效

2、出資承諾書(shū)：明確出資方式、金額、期限（認(rèn)繳制，章程約定即可）
